Terms of Service

1. General

These Terms of Service ('Terms') govern your use of the SellyGUIDE application ('App', 'Service') operated by the SellyGUIDE team ('we', 'us', 'our'). The App is accessible via two channels:

• Shopify App Store channel: Embedded app within Shopify admin. Payments processed via Shopify Billing API. Shopify's Partner Program Agreement applies in addition to these Terms.
• Direct web channel (sellyguide.com): Open to all e-commerce merchants using Shopify. Payments processed via Stripe.

These Terms apply to use through both channels.

We may update these Terms from time to time. Updates take effect upon publication at sellyguide.com/terms. Continued use after changes constitutes acceptance of the updated Terms.

2. Service Scope & Limitations

SellyGUIDE provides AI-powered sales analytics, anomaly detection, root cause analysis, and action recommendations for Shopify merchants. The following limitations apply:

• The App analyzes store data via the Shopify GraphQL API.
• SellyGUIDE is an advisory tool. All Selly AI recommendations are suggestions only — they do not constitute professional financial, legal, or business advice.
• AI-generated insights are based on your store data and should be reviewed before acting on them.
• The App does not make autonomous decisions on your behalf. All final decisions remain with the merchant.

AI Disclaimer: Selly AI recommendations are algorithmic advisory outputs. They are not guaranteed to be accurate. Always exercise your own judgment before acting on any suggestion.

3. Account & Usage

• You must use the Service only for lawful purposes and in compliance with all applicable laws.
• You are responsible for the security of your Shopify account credentials and must notify us immediately of any unauthorized use.
• You must not abuse the platform, attempt to reverse-engineer the App, or use automated tools to scrape data.
• You must not use SellyGUIDE to process data in violation of Shopify's Acceptable Use Policy or any applicable privacy laws.
• Each account is for a single Shopify store. Use across multiple stores requires separate subscriptions.

4. AI API Key — Special Obligations

SellyGUIDE operates on a Bring Your Own AI (BYOAI) architecture:

• The AI API key you enter is used exclusively for your store's AI interactions.
• API keys are stored encrypted and are never shared with third parties under any circumstances.
• You are solely responsible for the security of your API key and all activity performed using it.
• If you believe your API key has been compromised, revoke it immediately from your AI provider's dashboard.
• Token costs are billed directly to you by your AI provider — we are not party to this transaction.

• Shopify App Store channel: all payments processed exclusively via Shopify Billing API.
• Direct web channel (sellyguide.com): payments processed via Stripe.
• All prices are in USD. Applicable taxes may apply.
• You may upgrade or downgrade your plan at any time; changes take effect immediately.
• Downgrading may result in loss of access to higher-tier features.
• A 7-day free trial is available for all plans; no charge until trial ends.
• You may cancel at any time; access continues until end of current billing period.
• Early adopter pricing is permanent — if you cancel and return, the discounted price no longer applies.

6. Data & Privacy

• By using SellyGUIDE, you agree to our Privacy Policy at sellyguide.com/privacy.
• Store data is accessed via MCP solely to deliver App features and is never stored on our servers.
• We comply with Shopify's mandatory privacy webhooks: customers/redact, shop/redact, customers/data_request.
• Upon account closure or uninstallation, account data is permanently deleted within 30 days.
• We do not sell your data to third parties.

7. Intellectual Property

• All intellectual property rights in SellyGUIDE — its algorithms, skills files, and all associated software — are owned by SellyGUIDE.
• You are granted a limited, non-exclusive, non-transferable license to use the App during your active subscription.
• You may not copy, reproduce, modify, distribute, or create derivative works without our express written consent.
• Your store data remains your property at all times — we claim no ownership over it.

8. Limitation of Liability

• The Service is provided 'as is' without warranties of any kind.
• We do not guarantee uninterrupted or error-free operation of the App.
• We disclaim all liability for direct, indirect, incidental, or consequential damages, including losses from reliance on AI-generated recommendations.
• Our total liability for any claim shall not exceed the amount you paid for the Service in the 3 months preceding the claim.

9. Account Suspension & Termination

• We reserve the right to suspend or terminate access if you violate these Terms, Shopify's policies, or applicable laws.
• Serious violations (fraud, abuse, illegal activity) may result in suspension without prior notice.
• You may terminate use at any time by uninstalling the App.

10. Shopify Platform Compliance

For users accessing via the Shopify App Store channel, Shopify's Partner Program Agreement applies additionally:

• The Shopify channel app uses session tokens per Shopify's security requirements.
• We comply with Shopify's mandatory GDPR webhooks and privacy requirements.
• The App does not circumvent Shopify's core checkout or payment systems.
• SellyGUIDE was developed with the Shopify GraphQL Admin API, as required for apps published after April 1, 2025.
• Per Shopify's February 2026 API terms: merchant and customer data is never used to train AI/ML systems without explicit written consent.

11. Governing Law & Disputes

• These Terms are governed by the laws of the Republic of Türkiye, subject to mandatory local provisions.
• For disputes, the courts and enforcement offices of Aydın (Efeler) are authorized, unless local mandatory law requires otherwise.
• We encourage informal resolution before initiating legal proceedings.
• EU and UK merchants retain the right to bring claims before their local courts under applicable consumer protection laws.
