Terms of Use

1. Parties and Scope

These Terms of Use ("Terms") govern the use of the SellyGUIDE application ("App", "Service") operated by the SellyGUIDE team ("we", "us"). The App is accessible through two channels:

• Shopify App Store channel: an app embedded within the Shopify admin. Payment is processed via the Shopify Billing API. The Shopify Partner Program Agreement applies in addition to these Terms.
• Direct web channel (sellyguide.com): open to all e-commerce merchants using Shopify. Payment is processed via Stripe.

These Terms apply to use through either channel.

We may update these Terms from time to time. Updates take effect once published. Continuing to use the App means you accept the updated Terms.

2. Scope of Service and Limitations

SellyGUIDE is an AI-powered platform that answers Shopify merchants' questions about their store, order, inventory, and marketing data in plain language, analyzes store data on request, and provides step-by-step guidance on topics such as stock, SEO, and shipping. The following limitations apply:

• The App analyzes your store data via the Shopify GraphQL API.
• SellyGUIDE is an advisory tool. All recommendations and action tasks generated by Selly AI are suggestions only.
• AI-generated insights are based on your store data and must be evaluated by you before acting on them.
• The App does not make autonomous decisions on your behalf. All final decisions belong to the merchant.
• AI Disclaimer: SellyGUIDE's platform recommendations are advice based on algorithmic analysis of your store data. Their accuracy is not guaranteed.

3. Account and Use

• You must use the Service only for lawful purposes and in accordance with all applicable laws and regulations.
• You are responsible for the security of your Shopify account credentials and must notify us immediately of any unauthorized use.
• Misusing the platform, attempting to reverse-engineer the App, or collecting data through automated tools is prohibited.
• You may not use SellyGUIDE in a way that violates Shopify's Acceptable Use Policy or applicable privacy laws.
• Each account is for a single Shopify store. Use across multiple stores requires separate subscriptions.

4. AI API Key — Specific Obligations

SellyGUIDE is built on a Bring Your Own AI Key (BYOAK) architecture:

• The AI API key you enter into the platform is used solely for your store.
• The API key is stored encrypted and is never shared with any third party under any circumstances.
• You are responsible for the security of your API key and for all activity carried out with it.
• If you believe your key has been compromised, revoke it immediately from your AI provider's dashboard.
• Token costs are billed directly to you by your AI provider; we are not a party to that process.

• Shopify App Store channel: all payments are processed through the Shopify Billing API.
• Direct web channel (sellyguide.com): payments are processed through Stripe.
• All prices are in USD ($). Applicable taxes may apply.
• You may upgrade or downgrade your plan at any time; changes take effect immediately.
• Downgrading may result in loss of access to higher-tier features.
• A 7-day free trial is offered on all plans; you are not charged until the trial ends.
• You may cancel your subscription at any time; access continues until the end of the current billing period.

6. Data and Privacy

• By using SellyGUIDE, you accept our Privacy Policy at sellyguide.com/privacy.
• Your Shopify store data is accessed via MCP solely to deliver the App's functionality. This data is retained as part of your conversation history with Selly, solely so you can resume where you left off; you can permanently delete your chat history and account at any time.
• We comply with Shopify's mandatory privacy webhooks: customers/redact, shop/redact, customers/data_request.
• Following removal, your account data is permanently deleted within 30 days.
• We do not sell your data to third parties.

7. Intellectual Property

• All intellectual property rights in SellyGUIDE, including algorithms, skills files, and all related software, belong to SellyGUIDE.
• You are granted a limited, non-exclusive, non-transferable license to use the App for the duration of your active subscription.
• You may not copy, modify, or distribute the App without our express written permission.
• Your Shopify store data always belongs to you; we make no ownership claim over it.

8. Disclaimer and Limitation of Liability

• The Service is provided "as is", without any express or implied warranties.
• We do not guarantee that the App will operate uninterrupted or error-free.
• We accept no liability for direct, indirect, or consequential damages, including losses arising from reliance on AI-generated recommendations.
• Our total liability for claims arising from these Terms is limited to your payments over the 3 months preceding the date the claim arose.

9. Account Suspension and Termination

• We reserve the right to suspend or terminate your access if you violate these Terms, Shopify's policies, or applicable law.
• In cases of serious violations (fraud, misuse, illegal activity), suspension may occur without prior notice.
• You may terminate use at any time by uninstalling the App.

10. Shopify Platform Compliance

• Users of the Shopify App Store channel are additionally subject to the Shopify Partner Program Agreement.
• The Shopify-channel app uses session tokens in compliance with Shopify's security requirements.
• We comply with Shopify's mandatory GDPR webhooks.
• The App does not disable Shopify's core payment or checkout systems.
• SellyGUIDE is built on the Shopify GraphQL Admin API, mandatory for Shopify apps published after April 1, 2025.
• Per the February 2026 Shopify API update: merchant and customer data is not used to train AI models without explicit written consent.

11. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Republic of Turkey, subject to mandatory local provisions.
• The courts and enforcement offices of Aydın (Efeler) have jurisdiction over disputes.
• We encourage resolving disputes informally before initiating legal proceedings.
• Consumers in the EU and UK retain the right to bring proceedings in their local courts under applicable consumer protection law.
